Subscription Plans Terms of Service

These Subscription Plans Terms of Service, are supplemental to the Crowded Terms of Service that can be found https://bankingcrowded.com/legal/terms-of-service/ (together, the “Terms”). Any terms not defined herein shall have the meaning ascribed to them in the Terms of Service. These Terms constitute a binding and enforceable legal contract between Crowded and You. By accepting these Terms electronically by clicking a box indicating your acceptance, or by using Additional Services, you agree to these Terms. If you do not agree with these Terms, you must not accept these Terms or use Additional Services. If you are accepting these Terms on behalf of an entity, you represent that you have the power and authority to bind such entities to these Terms.


    1. Definitions

      1.1 “Additional Services”: Any additional services or features offered to Customers through Subscription Plans (including any payment processing services, to the extent applicable), reporting, taxation, formation, chapter management and software made available through the Platform, but excluding Third Party Accounts.

      1.2 “Customer” or “you”: The entity on behalf of which you are accepting these Terms.

      1.3 “Platform”: The Crowded solution enabling Customers to set up and manage their Third Party Account and process payments received in or made from such Third Party Accounts. The Platform is designated for clubs, groups, and other 501(c) organizations.

      1.4 “Subscription Plans”: Crowded offers the option to upgrade to various subscription plans that include additional features. For detailed information on each plan, please visit https://bankingcrowded.com/pricing/. The features associated with each plan are only available to the customer who subscribes to that specific plan.

      1.5 “Third Party Account”: An Issuing Bank’s bank account set up and maintained by Customer through the Platform.

      1.6 “Transaction”: A transaction for the purchase of products processed through the Crowded Account.

      1.7 “We”, “Us”, “Crowded” or “Our”: Crowded Technologies Inc.
    2. Fees, Payment terms and changes to Plans

      2.1 Fees
      We offer subscription plans with associated fees, which customers must pay on a monthly or annual basis. Additional fees may apply for actions such as transactions or using Crowded’s tax filing services, unless otherwise specified in the plan. Pricing and service details can be found at https://bankingcrowded.com/pricing/ and may be updated periodically. Customers may be able to find their subscription rate in the profile section of their Crowded portal.

      2.2 Payment
      Method

      Payments must be made via credit or debit card. By providing your card details, you authorize us to debit the applicable fees for Additional Services rendered from your payment method. We reserve the right to update or modify accepted payment methods at our discretion. Card failures may result in service cancellation.

      2.3 30-day Free Trial
      All customers will be auto-enrolled for a 30-day free trial of the “Pro” subscription, excluding federal tax filing services. After the free trial ends, customers will be prompted to continue with the “Pro” subscription or downgrade to the “Essentials” subscription, which is free.

      2.4 Monthly Subscriptions
      Monthly subscriptions are for one (1) month, from the 1st of the month until the end of that month and will automatically renew each month until the customer cancels their subscription. Customers that sign up for the “Pro” subscription after the first of the month or whose free trial ends after the first of the month will pay a pro-rated rate on that date based on the number of days remaining in that month. Future subscriptions will be charged on the first of each month for the upcoming month. Customers that use the subscription authorize Crowded to debit their payment method on the 1st of each month for the upcoming month’s subscription. Once payment is made, the effective date of the subscription will be the date the payment was due and not the actual date the payment was received.

      2.5 
      Annual Subscriptions
      Annual subscriptions may be made available and are for twelve (12) months from the customer’s date of payment and will automatically renew for another twelve (12) months at the end of each subscription period unless the customer cancels their subscription. The customer’s payment method will be automatically debited upon the effective date of a renewal. If there is a delay or an issue with the payment, Crowded may provide customers with a grace period to allow for payment before suspending the services made available through the “Pro” subscription, to the Company’s sole discretion. Once payment is made, the effective date of the subscription will be the date the payment was due and not the actual date the payment was received.

      2.6
      Cancelling a Subscription Plan
      Annual subscription plans renewals may be canceled if the customer cancels on the Platform or notifies Crowded support at least 3 business days before the effective renewal date by submitting a formal cancellation request. Customers that cancel before the effective date of renewal will maintain their access to the Platform until the end of the subscription period . Requests for cancellation less than 3 business days before the effective renewal date are not guaranteed to take effect for the upcoming subscription year, rather it may come into effect for the next subscription year.

      Monthly subscription plans renewals can be canceled either through the Platform or by submitting a formal cancellation request to Crowded support at least 3 business days before the effective renewal date. Customers that cancel before the effective date of renewal will maintain their access to the Platform until the end of the subscription period. Cancellation requests made through the Platform must be submitted before the end of the month. Cancellation requests submitted to Crowded Support less than 3 business days before the effective renewal date guaranteed to take effect for the upcoming subscription cycle.

      Please note that customers whose accounts are frozen, suspended, or closed for any reason, whether due to a violation of terms, payment issues, or any other circumstances, are not eligible for a refund. In such cases, access to Additional Services may be terminated immediately, and no refund will be provided. If we close your account then your subscription will be automatically cancelled for future months or years.

      To request a cancellation or to request a refund if you believe we have charged you in error, please reach out to Crowded support within the specified timeframe. Cancellation and refund eligibility will be evaluated based on the information provided at the time of request.

      2.7 Changes to Subscription Plans
      Customer will not be eligible for a refund as a result of downgrading a subscription before the end of that current subscription period, and the downgrade will only occur after the end of the then current subscription period. Customers wishing to downgrade may be required to suspend some admins before the downgrade will be made effective

    3. Additional Services and Features

      3.1 Tax Filings
      Customers with an active monthly or annual “Pro” subscription are eligible for one (1) free 990-N or 990-EZ IRS federal submission per calendar year, available after their first full month subscription payment. This service is exclusive to the subscribing organization and cannot be used to prepare or file 990-N or 990-EZ forms on behalf of or for the benefit of other organizations, or for future annual submissions. Preparation of other tax forms are not included in this subscription and may have additional fees.       3.2 Sub Accounts
      Customers with an active “Pro” subscription are eligible to have up to two (2) Sub Accounts. Functionality and terms of Sub Accounts are subject to the TransPecos Banks Business Deposit Account Agreement, and the TransPecos Banks Business Deposit Account Agreement Disclosures. Customers that fail to pay for the “Pro” subscription or downgrade their “Pro” subscription to a plan that limits the number of Sub Accounts may have the Sub Accounts beyond their eligible limit suspended, at the Company’s sole discretion. For example, if you have a “Pro” subscription with 2 Sub Accounts and then downgrade to the “Essentials” subscription which does not include Sub Accounts, then all of your Sub Accounts will be suspended.

      While a Sub Account is suspended, the Sub Account will have limited functionality, but you may be able to originate a funds transfer to move funds out of the account based on your user role permissions. If you fail to transfer the funds to the primary checking account we reserve the right to close your account and will follow the Closing Your Account and Account Suspensions section of the TransPecos Banks Business Deposit Account Agreement. When a Sub Account is suspended, certain features may not be available or the following restrictions, but not limited to, for each of the following user roles may apply:

      3.2.1
      Manager

      3.2.1.1 Editing Sub Accounts Chapter Names;
      3.2.1.2 Inviting new admins to a Sub Account;
      3.2.1.3 Adding funds to a Sub Account;
      3.2.1.4 Resending invitations to an admin; and
      3.2.1.5 All restrictions included in section 3.2.2

      3.2.2 Admin

      3.2.2.1 Check deposits, originating ACH debits, point of sale;
      3.2.2.2 Adding funds to or creating a new Wallet or Per Diem Account;
      3.2.2.3 Ordering new digital or physical cards;
      3.2.2.4 Admin card is frozen;
      3.2.2.5 Collect restrictions

                      3.2.2.5.1 Existing collect links will be deactivated;
                      3.2.2.5.2 Unable to create a new “Collect” link or share it;
                      3.2.2.5.3 Unable to send reminders for existing “Collect” links;
                      3.2.2.5.4 Unable to remove payers from existing “Collect” link; and
                      3.2.2.5.5 Recurring payments that were set up will not be canceled.;

      3.2.2.6 Inviting new Admins and contacts;
      3.2.2.7 Changing a user’s role;
      3.2.2.8 Creating new tags; and;
      3.2.2.9 Suspended Admins will have read-only access to the Crowded portal and will not have access to their mobile app;

      3.2.3 Contact

      3.2.3.1 Wallet and Per Diem Accounts and their cards will be frozen;
      3.2.3.2 Point of Sale or Push to Card transactions;
      3.2.3.3 Transferring funds between per diem accounts; and
      3.2.3.4 Unable to open a “Collect” request link;

      3.3 Bulk Actions
      Customers with an active “Pro” subscription are eligible to use Crowded’s bulk actioning features. The feature allows for a customer to do things such as, but not limited to, ordering multiple physical cards in one bulk request, making multiple internal transfers in one bulk request, and uploading multiple contacts in one bulk request. Bulk actioning for ordering cards is limited to one (1) card per admin but not to exceed the maximum number of admins allowed on the account. Bulk funds internal transfers are limited to and may not exceed the balance on your account. We will disable your ability to make future bulk actions if you downgrade from “Pro” or fail to pay for your subscription. 

      3.4 Admin Seats
      Customers with an active “Pro” subscription are eligible to add up to five (5) admins per account. Each Admin is eligible to have up to 1 physical and 1 digital card. If you would like to downgrade or fail to pay for your subscription, if your new subscription plan limits the number of admins, any admins beyond that limit may be suspended and you will not be able to add new admins greater than your allowed amount. For example, if your subscription only allows for 2 admins then the number of admins greater than 2 will be suspended and will have read-only access. You will be required to choose which Admins are suspended before you can downgrade.

      3.5
      Recurring Payments
      Customers with an active “Pro” subscription are eligible to use Recurring Payments as described in the Terms of Service in the Recurring Payments via Card and Subscription Services section. If you downgrade from “Pro” or fail to pay for your subscription then we will disable your ability to set up future recurring payments. Recurring payments that were already set up will continue until there is a payment failure, the recurring payment is completed, or the payer requests to cancel.  

      Recurring Payments are designed for processing subscription payments and monthly charitable contributions and may not be used to collect payments on any debt, loan, or retail installment contract.

      3.6 Export transactions
      Customers with an active “Pro” subscription are eligible to use Crowded’s export transactions feature. This feature enables you to filter and download your transaction history. We will disable your ability to export your transaction history if you downgrade from “Pro” or fail to pay for your subscription.  

    4. Changes to Terms
      Crowded may change these terms from time to time, and such change will become effective upon the date on which it is posted on the Website. You are responsible for checking the Website regularly for such changes. By continuing to access or use the Services you agree to be bound by the revised terms.
